1. Introduction

These Terms and Conditions (“T&C”) set out the terms on which True Heroes Films Association (the “Service Provider”, “we/us/our”) provides the Services and on which the customer (the “Customer”, “you/your”) purchases and uses the Services.

These T&C together with the Quote form the entire agreement between the parties and supersede prior understandings, unless expressly agreed otherwise in writing and signed by authorised representatives of both parties.

In the event of conflict, the following order of precedence applies: (a) the Quote; (b) these T&C; (c) any other document.

2. Definitions

• Agreement means these T&C together with the Quote.
• Customer means the entity or person identified in the Quote.
• Quote means the written quote specifying Services, Deliverables, pricing, payment schedule, assumptions and any requirements.
• Contract Price means the price payable for the Services as stated in the Quote.
• Deliverables means the outputs specified in the Quote (e.g. films, videos, photography, digital content, websites, installations, events, research outputs or training materials).
• Services means the services and Deliverables described in the Quote.
• Customer Materials means all materials supplied by or on behalf of the Customer.

3. Service provision

• A Quote remains open for acceptance for 30 days unless stated otherwise.
• The Agreement becomes binding upon written acceptance of the Quote by the Customer.
• We will perform the Services with reasonable skill and care consistent with professional standards.
• Delivery dates are estimates unless expressly stated as fixed and essential in the Quote.

4. Customer obligations

• The Customer shall pay charges in accordance with the Quote and these T&C.
• The Customer shall provide timely access, approvals and information required for performance.

5. Indemnity

The Customer indemnifies the Service Provider against claims, losses, damages, costs and expenses arising from: (a) breach of this Agreement by the Customer; (b) infringement or misuse of Customer Materials; (c) failure to obtain required permissions/clearances.

6. Payment

• Unless stated otherwise, invoices are payable within 30 days of invoice date.
• A deposit of up to 50% may be required prior to commencement of Services.
• In case of late payment, we may suspend Services and/or withhold Deliverables or licences.

7. Termination

• Either party may terminate for material breach if not remedied within 30 days of written notice.
• Upon termination, all work performed and costs incurred up to the termination date become payable.

8. Intellectual property

• Unless otherwise stated in the Quote, IP remains with the Service Provider. Upon full payment, the Customer receives a licence for the agreed use.
• Raw footage, project files and working materials are excluded from transfer unless expressly agreed.

9. Governing law

This Agreement is governed by the laws of Switzerland. The competent courts of Geneva have jurisdiction.

Grant of rights

• Record, reproduce, distribute and publicly communicate audiovisual material (including my image, voice and statements)
• Edit and adapt materials for documentary, educational and communication purposes
• Use materials worldwide without territorial limitation, in any media (including film, television, web, social media and publications)

Confirmations

• My participation is voluntary.
• No compensation is due unless separately agreed in writing.
• Materials may address sensitive human rights contexts; I understand the nature of the project and consent to the use described above.
